Coharyn Impact — End User License Agreement

This End User License Agreement (“Agreement”) applies to the Coharyn Impact software plugin for JetBrains IDEs (the “Plugin”), effective from the date the Plugin is first installed or used by You.

1. Parties

This Agreement is between Coharyn (mAIb), the developer of the Plugin (“Licensor”, contact: support@coharyn.com) and You, the individual or legal entity licensing the Plugin.

JetBrains s.r.o. is not a party to this Agreement. JetBrains provides the distribution platform (JetBrains Marketplace) and payment processing only, and bears no responsibility for the Plugin, its content or its performance.

2. Definitions

“Free Features” means functionality available without a paid license. “Pro Features” means functionality that requires a valid trial or paid license obtained through JetBrains Marketplace. “License Certificate” means the license record issued via JetBrains Marketplace.

3. License grant

Subject to this Agreement and (for Pro Features) a valid License Certificate, Licensor grants You a non-exclusive, non-transferable, non-sublicensable license to install and use the Plugin:

• Personal license: for You as a named individual, on any number of Your own machines, for personal or professional use, not purchasable or reimbursable by an organisation.
• Commercial license: for the licensed number of individual users within Your organisation; a license may be reassigned when a user permanently stops using it.
• Trial: for evaluation for the trial period granted through JetBrains Marketplace.

4. Restrictions

You may not: (a) redistribute, sell, rent or host the Plugin; (b) reverse engineer, decompile or disassemble it except to the extent permitted by mandatory law; (c) remove proprietary notices; (d) circumvent license enforcement; (e) use the Plugin to build a directly competing product by extracting its analysis output at scale.

5. Privacy and data

The Plugin performs all analysis locally in Your IDE. It transmits no source code, project data or telemetry to Licensor or third parties. License validation is performed by the JetBrains platform. See the Privacy Policy.

6. Intellectual property

The Plugin is licensed, not sold. Licensor retains all rights, title and interest. Reports You generate from Your own code (“Change Packs”) are Yours.

7. Updates and support

Licensor may provide updates at its discretion. Support is provided on a reasonable-efforts basis via support@coharyn.com. Paid license holders receive updates per the JetBrains Marketplace licensing model in effect at purchase.

8. Warranty disclaimer

THE PLUGIN IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND. LICENSOR DOES NOT WARRANT THAT ANALYSIS RESULTS ARE COMPLETE OR ERROR-FREE. THE PLUGIN PRODUCES EVIDENCE-BASED INDICATORS TO ASSIST ENGINEERING JUDGMENT; IT DOES NOT REPLACE TESTING, REVIEW OR RELEASE CONTROLS, AND YOU REMAIN SOLELY RESPONSIBLE FOR YOUR SOFTWARE CHANGES.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR’S AGGREGATE LIABILITY UNDER THIS AGREEMENT IS LIMITED TO THE AMOUNTS YOU PAID FOR THE PLUGIN IN THE TWELVE MONTHS PRECEDING THE CLAIM; LICENSOR IS NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR LOSS OF DATA, PROFITS OR BUSINESS. NOTHING IN THIS AGREEMENT EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED BY LAW.

10. Termination

This Agreement terminates automatically if You materially breach it. Upon termination You must uninstall the Plugin. Sections 6, 8, 9 and 11 survive.

11. General

If any provision of this Agreement is unenforceable, the remainder stays in effect. This Agreement is the entire agreement regarding the Plugin and supersedes prior discussions.

12. Consumer rights

If You are a consumer in the EU/EEA/UK, Your statutory rights (including withdrawal rights handled through JetBrains Marketplace’s refund process) are unaffected.
